Enterprise Terms

atorni (atorni AI) is an artificial intelligence tool. It is not a law firm, does not provide legal advice, and is not a substitute for consultation with a licensed lawyer.
These Enterprise Terms apply in addition to the Terms of Use and the Refund & Cancellation Policy when an organization subscribes to the atorni Enterprise plan. If these Enterprise Terms conflict with the Terms of Use, these Enterprise Terms prevail for the organization’s subscription.
1. The organization account
On availing of the Enterprise plan, the subscribing user provides the organization’s legal name, Taxpayer Identification Number (TIN), registered address, company email, and contact number, and by default becomes the organization’s administrator. The administrator represents that they are authorized to bind the organization to these terms.
The organization is responsible for keeping its registered name, address, and TIN accurate — these appear on official invoices, and we rely on them for tax compliance.
2. Administrators & members
Administrators may add, edit, and remove members; assign or change member seats; and, on the usage-based model, set per-member usage limits. The organization is responsible for its members’ compliance with the Terms of Use and for all activity under its accounts. Removing a member ends that member’s access through the organization but does not delete the member’s personal account data, which remains governed by the Privacy Policy.
3. Billing models
An organization uses one billing model at a time, selected by the administrator (the administrator may switch the organization’s model, effective the next billing cycle):
- Per-seat. Members are assigned seats at a fixed per-seat monthly rate quoted to your organization. The organization is billed for occupied seats each billing cycle. Seats added mid-cycle are charged from the next cycle; seats removed mid-cycle remain usable until the cycle ends.
- Usage-based. Members’ use of the service is not capped by plan allowances; instead, actual usage is metered and billed monthly in arrears. Usage charges are computed from the actual AI-provider cost of each request multiplied by the disclosed service factor, converted to Philippine Pesos at a rate fixed for the billing period. Each invoice is accompanied by a usage statement; administrators can monitor usage and set per-member limits at any time. Usage charges accrued are payable even if a member is later removed.
4. Consolidated invoicing
All charges are billed to the organization on a single consolidated invoice. Upon payment the organization receives an electronic payment acknowledgment (not a BIR-registered invoice); the official BIR Service Invoice, issued to the organization’s registered name, address, and TIN, follows within three (3) business days.
5. Withholding tax (EWT)
Organizations required by the Bureau of Internal Revenue to withhold creditable tax (for example, Top Withholding Agents withholding 2% on services) may remit fees net of the applicable expanded withholding tax, provided the organization furnishes a valid BIR Form 2307 (Certificate of Creditable Tax Withheld at Source) within the period prescribed by regulation. Absent a valid Form 2307, fees are due in full.
6. Data protection
For personal data of the organization’s members processed through the organization account, the organization acts as the personal information controller of its member roster and seat assignments, and we act as a personal information processor for that scope, processing on the organization’s documented instructions, under the Data Privacy Act of 2012 and the Privacy Policy. The organization’s TIN is sensitive personal information under the DPA; it is collected with the administrator’s explicit consent, used solely for tax-compliant invoicing, and stored encrypted. A separate data processing addendum is available on request.
7. Cancellation
The administrator may cancel the organization’s subscription at any time, effective at the end of the current billing period, per the Refund & Cancellation Policy. On the usage-based model, usage accrued up to the effective cancellation date remains payable and is billed on the final consolidated invoice.
