1. Who we are & acceptance of these Terms

Atorni is operated by Karl Gabriel M. Anciro (“Atorni,” the “operator,” “we,” “us”), a sole proprietor based at 2F Unit 3, 34 Matias St., Brgy. Paltok, Quezon City, Philippines 1105.

By creating an account or using Atorni, you agree to these Terms of Use, the Refund & Cancellation Policy, and the Privacy Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not use the service. Electronic acceptance of these Terms (for example, ticking the agreement box at sign-up) is valid and binding under the Electronic Commerce Act of 2000 (Republic Act No. 8792).

We may update these Terms from time to time. Material changes will be notified in the application and take effect on the stated effective date; continued use after that date constitutes acceptance of the updated Terms.

2. What Atorni is — legal information, not legal advice

Atorni is a Philippine AI Legal Assistant — an automated, AI-assisted legal-information, research, and drafting-support service. It provides general information about Philippine law for informational and educational purposes only, and it can generate document drafts (for example, contracts and affidavits) as starting points for your own review. Any draft Atorni generates must be reviewed, completed, and adopted by you before any use, and you remain solely responsible for it. Atorni does not provide legal advice, legal opinions, or recommendations on any specific course of action, and nothing it generates should be construed as the practice of law or as a legal opinion applied to your particular facts or situation.

3. Not a law firm · no lawyer-client relationship

Atorni is not a law firm and is not a substitute for a licensed attorney. Its operator does not act as your lawyer. Your use of Atorni does not create any attorney-client (lawyer-client) relationship, and no communication with Atorni is privileged or confidential in the way a communication with a lawyer would be. For advice on your specific circumstances, consult a lawyer in good standing with the Integrated Bar of the Philippines.

4. AI limitations, accuracy & no reliance

Atorni uses artificial intelligence and may produce information that is incomplete, outdated, or incorrect, including fabricated citations (“hallucinations”). The law changes, and the underlying corpus has a cut-off date. You must independently verify all information against primary sources (for example, the Official Gazette and the Supreme Court E-Library) and, where it matters, with a licensed Philippine attorney.

You use Atorni at your own risk, and you must not delay or forgo seeking professional legal advice because of anything Atorni provides. If you use AI-assisted output in preparing court submissions, you are responsible for complying with any disclosure requirements under the Supreme Court’s framework on the use of artificial intelligence in the judiciary.

5. Open Beta

Atorni is currently offered in Open Beta: the service is live and usable but is still actively being tested and improved. Features may change, be added, or be temporarily unavailable, and you may occasionally encounter bugs, slower responses, or gaps in coverage. By subscribing to a paid plan during Open Beta, you acknowledge that you are paying for a service that is still in active testing. This section does not limit the rights described in Section 11 or your statutory rights under Philippine law.

6. Acceptable use

You agree not to:

• use Atorni for any unlawful purpose, or to plan, commit, or conceal a crime;
• use Atorni to engage in, or to obtain, the unauthorized practice of law;
• scrape, crawl, bulk-download, or systematically extract the service or its corpus;
• reverse engineer, probe, or circumvent security, rate limits, or usage limits;
• resell, sublicense, or provide the service to third parties as your own offering;
• submit malware or content you have no right to share;
• upload documents containing other people’s personal data beyond what you are authorized to process.

7. Accounts & eligibility

Atorni is intended for legal professionals — lawyers, paralegals, law clerks, and law students. You must be at least eighteen (18) years old and provide accurate registration information. You are responsible for safeguarding your credentials and for all activity under your account. Access may be subject to review and approval.

8. Subscriptions, billing & taxes

Paid plans, prices, billing cycles, renewals, cancellation, and refunds are governed by the Refund & Cancellation Policy, which forms part of these Terms. Prices are stated in Philippine Pesos (₱).

Payments are processed by PayMongo (PayMongo Payments, Inc.). You pay either by scanning a QR Ph code with your e-wallet or banking app or, where available, by card; we do not store your full card number, and any card details are tokenized by PayMongo. Upon payment you will receive an electronic payment acknowledgment, which is not a BIR-registered invoice; your official BIR Service Invoice will be issued within three (3) business days. The operator is currently a Non-VAT registered taxpayer; invoices are issued in accordance with the National Internal Revenue Code, as amended by the Ease of Paying Taxes Act (Republic Act No. 11976). Enterprise customers are additionally covered by the Enterprise Terms.

9. Privacy & your data

Your personal data is handled as described in the Privacy Policy, in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173). Do not submit sensitive personal information, or the personal data of other identifiable persons, into chat beyond what is necessary and authorized. Conversations are processed by automated systems, including third-party AI model providers routed through OpenRouter, and are not confidential in the way a communication with a lawyer would be.

10. Intellectual property

The Atorni software, brand, and the selection, arrangement, and presentation of its corpus are owned by the operator. The primary legal materials Atorni cites (statutes, decisions, issuances) are public government works. You retain your rights to the questions and documents you submit; you grant us a limited licence to process them to operate, secure, and improve the service as described in the Privacy Policy. You may use Atorni’s outputs in your own work, subject to Section 4 (verification) and Section 6 (acceptable use).

11. Disclaimer of warranties & limitation of liability

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by Philippine law — except warranties and consumer rights that cannot be excluded under the Consumer Act (Republic Act No. 7394), the Internet Transactions Act (Republic Act No. 11967), and other applicable law.

To the fullest extent permitted by Philippine law, our aggregate liability arising out of or in connection with the service is limited to the total fees you paid for the service in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for fraud, bad faith, or gross negligence, or any liability that cannot be limited or excluded under the Civil Code of the Philippines (including Articles 1170–1173 and 2201) or other applicable law; any purported waiver of such liability is void.

12. Indemnity

You agree to indemnify and hold the operator harmless from claims, damages, and reasonable expenses arising from your misuse of the service or your violation of these Terms — subject always to the carve-out in Section 11: nothing in this section requires you to indemnify us against our own fraud, bad faith, or gross negligence.

13. Suspension & termination

We may suspend or terminate an account for breach of these Terms or unlawful use, with notice where practicable. You may stop using the service and end your plan at any time as described in the Refund & Cancellation Policy. If we terminate your paid subscription for our convenience before the end of a period you have paid for, we will refund the unused prepaid portion on a pro-rata basis.

14. Complaints & redress

For billing or service complaints, contact support@atorni.ph. We maintain an internal redress mechanism as required by the Internet Transactions Act (Republic Act No. 11967) and aim to resolve complaints within seven (7) calendar days. If your complaint is not resolved, you may escalate it to the Department of Trade and Industry / E-Commerce Bureau or bring it before the proper Philippine courts. Nothing in these Terms waives remedies that cannot be waived under Philippine consumer-protection law.

15. Governing law & venue

These Terms are governed by the laws of the Republic of the Philippines. Subject to your statutory rights to seek redress before the DTI / E-Commerce Bureau or through small-claims proceedings, the parties submit to the exclusive jurisdiction of the proper courts of Quezon City, Philippines.
